TERMS AND CONDITIONS OF SALE
1. General All orders placed with Primorpack (“The Seller”) are subject to these Terms and Conditions. By submitting a Purchase Order (PO) or paying a deposit, the Buyer agrees to be bound by these terms.
2. Production & Lead Time
- Make-to-Order: All products are strictly make-to-order. We do not hold stock.
- Pilot Runs: For authorized Pilot Runs (under 10k units), specific lead times and setup surcharges apply as stated in the Proforma Invoice (PI).
- Lead Time: Estimated lead times commence only after the deposit is received AND all artwork/samples are approved by the Buyer.
3. Payment Terms
- Deposit: A non-refundable deposit (typically 30% or 50% for Pilot Runs) is required to initiate production/mold allocation.
- Balance: The remaining balance must be paid before shipment (FOB/EXW) or against the Bill of Lading copy (CIF), as specified in the PI.
- Currency: All payments shall be made in USD/RMB to the authorized export agency account designated by Primorpack.
4. Quality & Claims (Crucial)
- Standard: Goods are produced according to the approved pre-production samples and Z&Z Tier-1 Quality Standards (AQL 2.5/4.0).
- Inspection: The Buyer has the right to arrange a 3rd-party inspection (e.g., SGS, Intertek) at the factory before shipment.
- Claim Period: Any claims regarding quality or quantity must be made in writing within 15 DAYS of the cargo’s arrival at the destination. Claims made after this period will not be accepted.
- Limitation: The Seller’s liability is limited to the value of the defective goods only. We are not liable for consequential losses (e.g., filling costs, freight, loss of profit).
5. Order Cancellation Once raw materials have been ordered or molds scheduled, orders cannot be cancelled. If the Buyer cancels, the deposit will be forfeited to cover material and setup costs.
6. Force Majeure Primorpack shall not be liable for delays caused by events beyond our reasonable control, including government actions, customs inspections, or raw material shortages.
